1. Acceptance of terms
By accessing or using Digitainment, you agree to be bound by these Terms of Service. If you do not agree, do not use the service.
2. Use of the service
Digitainment is a SaaS platform for music agency management. You may use the service only for lawful purposes and in accordance with these terms. You are responsible for all activity that occurs under your account.
3. Data and privacy
We collect and process data as described in our Privacy Policy. You retain ownership of all data you upload to the platform.
4. Plans, modules, and payment
Subscription fees are billed as agreed at sign-up. We reserve the right to suspend access for non-payment after reasonable notice.
The service is made up of a plan and optional modules and add-ons. Modules (such as Merch and Logistics) may be included with your plan or bought separately; each separately purchased module, team seat, social slot, or add-on is billed as its own subscription and may be cancelled on its own without affecting the rest of your plan. Cancelling takes effect at the end of the period you have already paid for; we do not refund the remainder of a period unless the law requires it. Where a module is included with a plan, downgrading to a plan that does not include it will end your access to that module unless you buy it separately.
Prices, plan contents, and which modules are included may change. We will give reasonable notice of a change that affects what you already pay for, and it will not take effect before the end of your current billing period. Continuing to use the service after that constitutes acceptance of the new terms of your plan. Losing access to a module does not delete the data you created with it.
5. Selling merchandise through the platform
Digitainment provides tools to record and manage your own merchandise sales — at the merch table, by mail order, and through an online shop we host on your behalf. This section applies whenever you use those tools.
We never handle your money. Digitainment is not a party to any sale you make, is not a payment processor, and at no point holds, receives, or transmits funds from your customers. Card payments are processed by Stripe into a Stripe account you own and connect yourself; PayPal payments go directly to your own PayPal account; cash never touches us at all. We record the sale, move the stock, and put the figures into your reporting. We take no commission, revenue share, or per-sale fee on your merchandise sales; your payment provider's own fees are a matter between you and that provider.
You are the seller. You are the seller of record for every sale made through the platform. You are solely responsible for the goods you list and their description and pricing; for fulfilment, shipping, and delivery; for returns, refunds, cancellations, and chargebacks; for customer service and any consumer-law rights your customers hold; and for having the right to sell what you list, including any trade mark, artwork, or licensing permissions. Any refund is issued by you from your own payment provider.
Payment providers set their own terms. Your use of Stripe (including Stripe Connect and Stripe Terminal) and of PayPal is governed by your agreement with that provider, not by these terms. Those providers decide whether to accept your account, may hold or reverse funds, and may impose their own restrictions. We are not responsible for their decisions, outages, or fees, and we cannot release funds they hold.
Tax is yours. Digitainment records the tax rates you enter and shows them on your receipts, invoices, and settlements. Determining the correct rate, registering where required, and filing and remitting tax remain entirely your responsibility. Nothing in the product or these terms is tax or legal advice.
Records and availability. The sales records, stock levels, and settlement figures the platform produces are provided for your convenience and are not a substitute for your own accounting. Availability of the service is subject to section 7 below; we do not guarantee that the online shop or any payment method will be uninterrupted, and we are not liable for sales you are unable to make during any interruption.
You agree to indemnify Digitainment against claims brought by your customers or by any third party arising from your merchandise sales, including claims about the goods, fulfilment, refunds, or tax.
6. Prohibited and restricted products
You may list and sell only goods you are legally entitled to sell, and only goods your payment provider permits. Your listings must at all times comply with the rules of whichever provider you use to take payment.
Where you take card payments, that means Stripe's Restricted Businesses list, which covers both prohibited and restricted categories and is incorporated into these terms by reference. Where you take payment through PayPal, the same applies to PayPal's Acceptable Use Policy. PayPal publishes that policy per region, and the version applicable to your own PayPal account is the one that governs. Both lists are maintained by the providers and change from time to time; the version in force at the time of your sale is the one that applies, and it is your responsibility to keep up with it.
Most of those categories will never arise for a band selling shirts and records. The ones that do come up at a merch table, and that are commonly missed, include: counterfeit goods and anything infringing another party's trade mark, artwork, or recordings — bootleg merchandise is the single most common breach in this industry; tobacco products, e-cigarettes, and vaping equipment; cannabis, CBD, and smoking paraphernalia such as papers, grinders, and pipes; weapons, including knives and replicas; adult material; nutraceuticals and supplements making health claims; and NFTs or other crypto-based items. If you are unsure whether something you want to sell is permitted, check the provider's list before you list it, not after a payment is reversed.
We may review any listing, product, or shop at any time, and may remove a listing, disable your shop, suspend your access to merchandise features, or terminate your account where we reasonably believe these terms or a payment provider's rules have been breached. We may act without notice where a provider requires it or where we consider the risk immediate. We do not pre-approve listings, and the fact that a listing has been live, or that we have not acted on it, is not approval of it.
You are responsible for any consequence of a breach, including refunds, chargebacks, fines, penalties, and losses charged by a payment provider, whether charged to you or to us, and you indemnify us against any such amount and against any claim arising from goods you listed or sold. Payment providers may also suspend or close your account with them, withhold or reverse funds, and impose their own penalties; those are decisions of the provider, not ours, and we cannot reverse them.
7. Limitation of liability
To the fullest extent permitted by law, Digitainment shall not be liable for any indirect, incidental, or consequential damages arising from your use of the service, including any loss of sales, revenue, stock, or data.
8. Changes to terms
We may update these terms from time to time. Continued use of the service after changes constitutes acceptance of the revised terms.
